These Terms and Conditions (“Terms”) govern your access to and use of the Ruby’s Wholesale Club website, products, memberships, services, and related features. By visiting the website, creating an account, purchasing a product, or using any part of the service, you agree to be bound by these Terms.
If you do not agree, do not use the website.
1. ABOUT RUBY’S WHOLESALE CLUB
Ruby’s Wholesale Club is an online shopping platform through which customers may purchase grocery and household products for delivery to a shipper selected by the customer. Ruby’s Wholesale Club does not provide freight forwarding, customs clearance, import brokerage, or final island delivery unless expressly stated otherwise in writing.
2. ELIGIBILITY
You must be at least 18 years old and capable of entering into a binding agreement to use this website or place an order.
By using the website, you represent and warrant that:
- The information you provide is accurate and complete
- You will use the website only for lawful purposes
- You have authority to use the payment method you provide
- You understand and accept these Terms
3. ACCOUNTS
To access certain features, you may need to create an account. You are responsible for:
- Maintaining the confidentiality of your login credentials
- Restricting access to your account
- All activity occurring under your account
We may suspend, restrict, or terminate any account at any time, with or without notice, if we believe the account is being used unlawfully, fraudulently, abusively, or in violation of these Terms.
4. MEMBERSHIP PLANS AND BILLING RULES
Ruby’s Wholesale Club may offer Guest, Club, and Business shopping plans or memberships.
Billing Rules
- Membership pricing, billing frequency, and included benefits will be shown at checkout or on the applicable plan page
- Paid memberships, if offered, are billed in advance for the billing period selected at signup
- Unless expressly stated otherwise at checkout, paid memberships automatically renew at the end of each billing cycle using the payment method on file
- You authorize us to charge the applicable membership fee, taxes, and any other disclosed charges to your payment method
- You are responsible for keeping billing information current and accurate
- If a recurring payment fails, we may retry the charge, suspend benefits, downgrade the account, or cancel the membership
- You may cancel a paid membership before the next renewal date to avoid future charges. Cancellation does not entitle you to a refund for the current billing period
- Membership fees are non-refundable and non-transferable
- We may change membership pricing, features, or benefits at any time. Any pricing change will apply no earlier than the next renewal unless otherwise stated
- Promotional pricing, trial offers, or discounts may be limited in duration and may convert to standard pricing unless otherwise disclosed
- Abuse of membership benefits may result in suspension or termination without refund
5. PRODUCTS, PRICING, AND AVAILABILITY
We try to keep product listings, descriptions, images, and prices accurate, but we do not guarantee that all information is complete, current, or error-free.
We reserve the right to:
- Change or correct prices, descriptions, or availability
- Limit quantities
- Discontinue products
- Substitute packaging or presentation where appropriate
- Refuse or cancel any order for any reason, including suspected fraud, pricing errors, or supply issues
6. ORDERS
Your order is an offer to purchase. We may accept, reject, limit, or cancel any order at our discretion.
An order confirmation email does not guarantee acceptance or fulfillment. We may contact you to verify information before processing the order.
7. PAYMENT TERMS
By submitting an order, you authorize us and our payment processors to charge the full amount due, including product prices, membership charges, applicable taxes, fees disclosed at checkout, and any authorized post-order adjustments.
Unless expressly stated otherwise, charges shown at checkout do not include:
- Freight forwarding charges
- Shipping charges imposed by your selected shipper
- Customs duties
- Import taxes
- Brokerage fees
- Storage fees charged by the shipper
- Destination-country or island-specific fees
Those charges are your responsibility.
8. DELIVERY TO SHIPPER; RISK TRANSFER
You are responsible for providing accurate shipper and delivery information.
Your order is considered delivered when the box is delivered to the shipper you selected. Risk of loss, delay, damage, misdelivery, theft, handling issues, and all other shipping-related risk transfers to you once the box has been delivered to the shipper.
After delivery to the shipper, Ruby’s Wholesale Club is not responsible for:
- Freight delays
- Shipper mistakes
- Customs holds
- Customs seizures
- Duties or import charges
- Storage fees
- Damage occurring after handoff
- Loss in transit after handoff
- Final delivery timing or outcome
Proof of delivery to the shipper, including internal records, carrier confirmation, photo confirmation, delivery logs, or similar documentation, will be sufficient evidence of handoff.
9. NO REFUNDS; NO RETURNS
All sales are final. No refunds. No returns.
To the fullest extent permitted by law:
- We do not accept returns
- We do not provide refunds, exchanges, credits, or charge reversals for completed purchases
- We do not provide refunds for delayed delivery, customs issues, shipper delays, incorrect destination selection, or post-handoff damage or loss once the order has been delivered to the selected shipper
If we choose, in our sole discretion, to make an exception, that exception does not waive our right to enforce this policy for all other orders.
10. CUSTOMER RESPONSIBILITIES
You are solely responsible for:
- Providing accurate account, billing, and shipper information
- Ensuring the selected shipper is valid, available, and able to receive the order
- Understanding freight forwarding, customs, duties, import rules, and prohibited items for the destination
- Paying all post-handoff freight, import, and related charges
- Reviewing your order carefully before purchase
- Ensuring purchases comply with laws applicable in the destination jurisdiction
11. PROMOTIONS AND DISCOUNTS
Any promotion, coupon, discount, introductory offer, or limited-time deal may be modified or withdrawn at any time unless prohibited by law. Promotions may not be combined unless expressly stated. We may cancel discounts obtained through misuse, abuse, fraud, or technical error.
12. INTELLECTUAL PROPERTY
All website content, branding, logos, text, graphics, images, layouts, software, and related materials are owned by or licensed to Ruby’s Wholesale Club and are protected by applicable intellectual property laws.
You may not reproduce, distribute, modify, publish, create derivative works from, or exploit any part of the website without our prior written consent.
13. ACCEPTABLE USE
You agree not to:
- Use the website for unlawful or fraudulent purposes
- Interfere with the website’s functionality or security
- Gain unauthorized access to accounts, systems, or data

15. DISCLAIMER OF WARRANTIES
To the fullest extent permitted by law, the website, products, memberships, and services are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or uninterrupted availability.
We do not warrant that:
- The website will be uninterrupted, secure, or error-free
- Product listings will always be accurate
- Any defects will be corrected
- The website will be free from viruses or harmful components
- Deliveries will occur within any specific timeframe
16. LIMITATION OF LIABILITY
To the fullest extent permitted by law, Ruby’s Wholesale Club and its owners, affiliates, officers, employees, contractors, vendors, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost savings, lost business, loss of goodwill, or data loss, arising out of or related to:

- Shipper issues
- Customs issues
- Freight delays
- Post-handoff loss or damage

To the fullest extent permitted by law, our total aggregate liability for any claim arising from any order, product, membership, or use of the website will not exceed the amount actually paid by you to Ruby’s Wholesale Club for the specific order or membership giving rise to the claim.
17. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Ruby’s Wholesale Club and its owners, affiliates, officers, employees, contractors, and service providers from and against any claims, losses, liabilities, damages, judgments, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

- Your misuse of the website
- Your violation of law
- Your violation of any third-party right
- Inaccurate information you provide
- Disputes involving your shipper, freight forwarding, customs, or import process
18. TERMINATION
We may suspend or terminate your access to the website, your account, or your membership at any time, with or without notice, for any reason or no reason, including suspected fraud, abuse, legal risk, nonpayment, or violation of these Terms.
Sections that by their nature should survive termination will survive, including payment obligations, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, and intellectual property provisions.
19. GOVERNING LAW AND VENUE
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms, the website, any order, or any membership shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction and venue of those courts.
20. CHANGES TO THESE TERMS
We may revise these Terms at any time. Updated Terms are effective when posted, unless a later date is stated. Your continued use of the website after updated Terms are posted constitutes acceptance of the revised Terms.
